Terms of Service — Dorm Deal Inc.
These Terms govern your access to Dorm Deal. They outline your responsibilities as a peer-to-peer marketplace participant and the limits of our platform.

Important arbitration notice
These Terms include an arbitration provision and a class action waiver under the U.S. Federal Arbitration Act (FAA). They affect how disputes are resolved. You may have the right to opt out within 30 days by following the instructions in the Governing Law section. Small claims court remains available. The arbitration provision does not prevent seeking public injunctive relief where required by applicable law.
Overview
These Terms of Service ("Terms") govern your access to and use of Dorm Deal and any related websites, applications, features, and services (collectively, the "Services"). Dorm Deal is a peer-to-peer marketplace designed for college students to buy and sell secondhand items within and between campuses.
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services. We may update these Terms from time to time by posting a revised version in the app or on our website. Changes become effective upon posting unless we specify otherwise. Your continued use after the effective date means you accept the updated Terms.
Eligibility & Account Registration
- The Services are intended for currently enrolled students at accredited colleges or universities. Verification (for example, via university email, ID checks, or other methods) may be required before you gain full access. Dorm Deal may allow alumni or other participants consistent with Dorm Deal policy.
- You must be at least 18 years old, or the age of majority where you reside. If you are 13–17, you may use the Services only with the consent of a parent or legal guardian who agrees to these Terms on your behalf. The Services are not directed to children under 13.
- You must provide accurate, current, and complete registration information (such as your full name, phone number, university email address, payment method, and billing/shipping addresses) and keep it updated.
- You are responsible for safeguarding your credentials and for all activity under your account. Notify us immediately of any unauthorized use.
Marketplace Role & Responsibilities
- Dorm Deal is a platform that enables users to list, discover, and transact for items. Dorm Deal is not the seller of items listed by users, is not a party to transactions between users, and does not take title to items.
- Dorm Deal does not endorse or guarantee any user, listing, or item. We are not responsible for the existence, quality, safety, legality, or accurate description of items; for sellers’ ability to sell; or for buyers’ ability to pay.
- Transactions that occur outside Dorm Deal’s payment flow happen at your own risk and are not protected by our policies or tools.
- You are responsible for complying with all applicable laws, regulations, and campus policies, including those governing sales, shipping, taxes, and privacy.
Listings, Content & Prohibited Activities
Listings. You must ensure listings are accurate and complete, including truthful titles, descriptions, condition, pricing, applicable taxes, and shipping details. You represent and warrant that you own or have rights to the items you list.
Prohibited Items. Illegal, counterfeit, stolen, hazardous, or otherwise prohibited items (including firearms or weapons, ammunition, drugs, controlled substances, recalled goods, human body parts, and items that infringe third-party rights) may not be listed, bought, or sold. Dorm Deal may update the prohibited items list at any time.
Prohibited Conduct. You may not: violate laws; engage in fraud, scams, or money laundering; circumvent fees or payment flows; interfere with security or operations; scrape or harvest data except as allowed by robots.txt; spam or harass other users; or post defamatory, obscene, hateful, or otherwise objectionable content.
User Content & Takedowns. You grant Dorm Deal a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, reproduce, display, perform, and distribute your content for operating, improving, and promoting the Services. Dorm Deal may remove or disable listings or content at our discretion, including to comply with law, enforce these Terms, or protect users.
Fees, Payments & Taxes
- Payments are processed by Dorm Deal’s payment partners. You authorize Dorm Deal and our processors to charge your chosen payment method for purchases, fees, taxes, shipping, adjustments, or other amounts owed.
- Dorm Deal may place temporary reservation holds on items in a cart (for example, about 10 minutes) to allow checkout. Holds are not guarantees of purchase and may expire automatically.
- Dorm Deal may charge seller fees, listing fees, payment processing fees, or other service charges. Fees will be disclosed in the Services before you list or complete a transaction and may change over time.
- Sellers are responsible for determining, collecting, reporting, and remitting taxes. Dorm Deal or its payment processor may calculate, collect, and remit taxes in some jurisdictions, but Dorm Deal is not a tax advisor and does not guarantee tax outcomes.
Shipping, Delivery & Risk of Loss
- When Dorm Deal provides shipping labels or methods, sellers must use them and ship promptly after a sale. Tracking information should be supplied or will auto-populate if shipping is arranged through Dorm Deal.
- Sellers must ship within the timeframe presented at checkout or in Dorm Deal policies. If a seller cannot fulfill an order, they must promptly notify the buyer and Dorm Deal.
- Risk of loss transfers to the buyer upon delivery to the carrier when sellers use the Dorm Deal-provided shipping method, unless applicable law states otherwise. Title passes directly from seller to buyer; Dorm Deal never takes title to items. To the extent applicable, the Uniform Commercial Code (UCC) may govern certain aspects of risk of loss and title transfer.
Returns, Refunds & Cancellations
Returns, refunds, cancellations, and “not as described” issues are governed by Dorm Deal’s refund/return policies as posted in the Services (the “Refund Policy”). Buyers should attempt to resolve issues directly with sellers first. Dorm Deal may, but is not obligated to, assist in limited circumstances described in the Refund Policy. Dorm Deal is not responsible for disputes involving transactions completed outside the Services.
Disputes Between Users
If you have a dispute with another user, you agree to resolve it directly with that user. You release Dorm Deal and its affiliates, officers, directors, employees, and agents from claims, demands, and damages of any kind arising out of or connected with such disputes.
Intellectual Property & DMCA
The Services—including software, text, graphics, logos, and other content—are owned by Dorm Deal or its licensors and are protected by intellectual property laws. Except as expressly permitted, you may not use, copy, modify, create derivative works of, distribute, or display any part of the Services. If you provide feedback or suggestions, you grant Dorm Deal a perpetual, worldwide, royalty-free license to use them without restriction.
If you believe your copyrighted work has been used in a way that constitutes infringement, send a DMCA notice to the address in the Contact section with: (i) your signature; (ii) identification of the copyrighted work and the allegedly infringing material; (iii) contact information; (iv) a statement of good-faith belief; and (v) a statement under penalty of perjury that the information is accurate and you are authorized to act.
Privacy
Your use of the Services is subject to the Dorm Deal Privacy Policy, which describes how we collect, use, and disclose personal information. By using Dorm Deal you acknowledge the Privacy Policy. You can review it at /legal/public/privacy.
Suspension & Termination
We may suspend or terminate your account or access to the Services at any time, with or without notice, if we believe you have violated these Terms, engaged in fraudulent or unlawful activity, or created risk or potential legal exposure for us or our users. Upon termination, your right to use the Services ceases immediately, though certain obligations (such as fees owed, indemnities, and limitations of liability) survive.
Disclaimers & Warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED UNDER U.S. LAW, DORM DEAL INC. DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON‑INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED, SECURE, OR ERROR‑FREE OPERATION, OR THE ACCURACY OR RELIABILITY OF LISTINGS OR USER CONTENT.
Some states do not allow limitations on implied warranties. To the extent such laws apply, the above limitations may not apply to you and you may have additional rights.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY U.S. LAW, DORM DEAL INC. AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO USE) THE SERVICES; ANY CONDUCT OR CONTENT OF OTHER USERS OR THIRD PARTIES; ITEMS OR LISTINGS; OR UNAUTHORIZED ACCESS TO OR USE OF YOUR CONTENT OR INFORMATION.
IN NO EVENT WILL DORM DEAL INC.’S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES EXCEED THE GREATER OF (I) THE AMOUNT YOU PAID TO DORM DEAL INC. FOR THE TRANSACTION(S) AT ISSUE IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (II) ONE HUNDRED U.S. DOLLARS (US$100). Some jurisdictions do not allow certain exclusions or limitations, so some provisions may not apply to you.
Indemnification
You agree to defend, indemnify, and hold harmless Dorm Deal Inc. and its affiliates, officers, directors, employees, and agents from any claim, liability, damage, loss, or expense (including reasonable attorneys’ fees) arising out of or in any way connected with your violation of these Terms, your use of the Services, your listings or items, or your violation of laws or third-party rights.
Governing Law & Dispute Resolution
Governing Law and Venue. Except as preempted by the Federal Arbitration Act, these Terms are governed by the laws of the State of [Governing State], without regard to its conflict‑of‑law rules. Except as provided in the Arbitration subsection, you agree to the exclusive jurisdiction and venue of the state and federal courts located in [City, State] for any action not subject to arbitration.
Arbitration; Class Action Waiver. You and Dorm Deal agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by binding arbitration on an individual basis, administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, and governed by the FAA. Either party may bring an individual claim in small claims court. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND DORM DEAL INC. WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION OR CLASS‑WIDE ARBITRATION. This does not preclude seeking public injunctive relief where such waiver is unenforceable.
Opt‑Out. You may opt out of arbitration within 30 days of first accepting these Terms by sending written notice including your name, the email associated with your account, and a statement that you opt out of arbitration, to the address in the Contact section. Opting out does not affect other provisions of these Terms.
Electronic Communications & E‑SIGN
By creating an account or using the Services, you consent to receive disclosures and communications electronically as permitted by the U.S. Electronic Signatures in Global and National Commerce Act (E‑SIGN) and applicable state laws. You agree that electronic signatures and records have the same legal effect as paper signatures and records.
Export, Sanctions & Anti‑Corruption
You represent that you are not located in, organized under the laws of, or ordinarily resident in any country or territory subject to U.S. sanctions, and you are not a person or entity listed on any U.S. government restricted party list. You agree to comply with all applicable U.S. export, re‑export, sanctions, and anti‑corruption laws (including the U.S. Export Administration Regulations and the Foreign Corrupt Practices Act).
Third-Party Services
The Services may integrate or link with third-party services such as payment processors or shipping partners. Dorm Deal is not responsible for third-party services, and your use of them is subject to their terms and privacy policies.
Miscellaneous
- These Terms constitute the entire agreement between you and Dorm Deal regarding the Services and supersede all prior agreements or understandings.
- If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force.
- You may not assign or transfer these Terms without our prior written consent. Dorm Deal may assign or transfer these Terms without restriction.
- Dorm Deal is not liable for delays or failure to perform due to causes beyond our reasonable control, including natural disasters, labor disputes, internet outages, or governmental actions.
- You represent that you are not located in, or a resident of, a country subject to U.S. embargoes or sanctions, and that you are not on any U.S. government list of prohibited or restricted parties.
- Nothing in these Terms limits any non‑waivable rights under applicable U.S. consumer protection laws.
